Terms and Conditions
Article 1 – Definitions
1.1 Service Provider: This refers to LegalVision B.V., with its registered office at Prins Hendrikkade 21, 1012 TL Amsterdam, listed in the trade register under Chamber of Commerce number 94890781. Hereinafter also referred to as “LegalVision.”
1.2 User: The counterparty of the service provider who enters into an agreement with LegalVision. In these general terms and conditions, this party is referred to as the “user.”
1.3 Parties: Collectively, the service provider and the user.
1.4 Agreement: The purchase agreement between the user and the service provider, under which the user is obliged to deliver goods or services to the service provider, and the service provider is obliged to pay the agreed purchase price to the user.
Article 2 – Applicability
2.1 These general terms and conditions apply to all quotations, offers, agreements, and deliveries of services via the platform. These services include but are not limited to generating, signing online, organizing, and storing legal documents, as well as providing legal information as described in Article 3. Deviations from these conditions are only valid if agreed in writing.
2.2 Deviations from these general terms and conditions are binding only if and to the extent that the parties have explicitly and in writing agreed to them. Such deviations apply exclusively to the agreement for which they have been made.
Article 3 – Services
3.1 Through the Legally.io platform, LegalVision offers various services to help users manage legal documents and obtain legal information. The platform’s core functionalities include:
- Generating legal documents: Users can easily generate legal documents by means of a step-by-step questionnaire. This process allows users to create documents tailored to their specific needs.
- Online signing of legal documents: The platform enables users to sign legal documents digitally, allowing them to be legally signed without the need for physical presence.
- Organizing legal documents: Users can manage and organize their legal documents in a structured manner within the platform, ensuring that documents remain easily accessible and searchable.
- Storing legal documents: Documents generated or uploaded can be securely stored on the platform. LegalVision ensures the security of these documents in accordance with legal requirements and its privacy policy.
- Providing information on legal matters: Legally.io includes an information library covering various legal topics, giving users access to up-to-date and relevant legal information.
3.2 LegalVision reserves the right to expand, modify, or discontinue the aforementioned services. Any changes will be communicated to the user in a timely manner. Non-essential changes, such as additions or improvements, do not give the user the right to terminate the agreement.
Article 4 – Account
4.1 An account is required to use the services on the platform. Only with an account can users gain full access to all the platform’s functionalities.
4.2 An account can be created free of charge and is necessary to access additional functionalities, such as managing and organizing documents and using subscription services.
4.3 Accounts are strictly personal and may not be shared or used by anyone other than the registered user. Each account is linked to a unique email address and login credentials, granting the user access to their personal environment within Legally.io.
4.4 LegalVision reserves the right to block or terminate accounts in case of misuse, violation of these terms and conditions, or if it appears that an account is used by multiple people.
4.5 The user is responsible for the accuracy of the information provided and bears any consequences arising from misuse of the account.
4.6 The user cannot claim any compensation or refund if the account is refused or blocked by LegalVision.
Article 5 – Subscription, Trial Period, and Payment Terms
5.1 Through the Legally.io platform, a subscription service is offered whereby users pay a fixed monthly fee for unlimited access to all platform functionalities and services, such as generating, storing, organizing, and signing legal documents. Current rates can be found at any time on the LegalVision website. All prices listed on the website are inclusive of VAT.
5.2 New users can take advantage of a one-time trial period of seven (7) days at a reduced rate. During this period, users have full access to the platform and all available functionalities so they can test the service. At the end of the trial period, the subscription will automatically convert to a monthly subscription at the regular rate, unless the user cancels within the trial period.
5.3 After the trial period, the subscription will automatically renew monthly at the regular rate. If the first payment is made via iDeal, this payment serves as authorization for subsequent payments to be automatically debited via SEPA direct debit until the subscription is canceled. If the first payment is made via credit card or PayPal, this payment serves as authorization for subsequent payments to be automatically charged via the same payment method until the subscription is canceled.
5.4 By taking out a subscription, the user authorizes LegalVision to collect monthly payments automatically via SEPA direct debit or another chosen payment method. The user is responsible for ensuring sufficient funds are available in the specified account and for keeping payment details up-to-date. For any questions or issues with payments, the user may contact customer service.
5.5 If an automatic debit fails—for example, due to insufficient funds, reversal, or a technical error—LegalVision reserves the right to make repeated attempts within a reasonable time frame. The user will be notified, and the payment status can be checked in their account. In the case of persistent failed payments, LegalVision may temporarily suspend the subscription or revert the user’s account to a free account status. During this period, the user will have limited access to the platform’s services until payment is made.
5.6 If multiple debit attempts remain unsuccessful, the user will receive a payment link allowing the outstanding amount to be settled manually. Once payment is received, full access to the platform will be restored.
5.7 The user may cancel the subscription at any time via their account settings on the website or by contacting customer service. After cancellation, the user will retain access to the platform until the end of the current subscription period.
5.8 Prices are subject to change without prior notice. However, price changes do not apply to ongoing services and/or subscriptions unless otherwise agreed. Users will be notified in advance of any changes in rates for ongoing services and/or subscriptions.
Article 6 – Duration and Termination of the Agreement
6.1 The user may terminate the agreement at any time via their account settings on the website or by contacting customer service. Users who activated the subscription via PayPal may also cancel through their PayPal account.
6.2 In the event of cancellation or termination of the agreement, payments will never be refunded. The user retains access to the service until the end of the current subscription period.
6.3 LegalVision reserves the right to terminate the agreement if the user fails to fulfill the obligations arising from these terms and conditions or if misuse of the services is detected.
6.4 After cancellation or termination of the agreement, the user’s data will be retained for a period of eighteen (18) months. During this time, the user can easily resume using the service with the same account credentials. After this period, the data will be permanently deleted unless legal obligations require otherwise.
Article 7 – Right of Withdrawal
7.1 Users have the right to dissolve the agreement within a withdrawal period of fourteen (14) days without giving reasons, pursuant to Article 6:230o of the Dutch Civil Code (BW). The withdrawal period starts at the time the user has fully availed themselves of the service as defined in the agreement.
7.2 In accordance with Article 6:230p sub f of the Dutch Civil Code, the right of withdrawal does not apply to personalized or custom-made legal documents generated based on the user’s specific requirements. Once a custom document has been generated and/or downloaded, it is considered a performed service for which no right of withdrawal applies.
7.3 To exercise the right of withdrawal, the user must contact LegalVision’s customer service within the withdrawal period and clearly specify the request to withdraw. The user may request a standard withdrawal form or use their own written statement to exercise this right.
7.4 If the user withdraws from the agreement within the specified period and the service does not fall under the exclusion, LegalVision will refund the amount paid within fourteen (14) days after receiving the withdrawal request, using the same payment method that was used for the initial payment.
7.5 The user must handle the provided information and the platform with care until it is clear whether the withdrawal can be successfully completed. Documents not considered custom-made must not be downloaded or used after a withdrawal.
Article 8 – Availability
8.1 LegalVision strives to keep the platform and services continuously available. However, LegalVision cannot guarantee that the services will be available at all times without interruption.
8.2 Maintenance, updates, or other technical reasons may cause temporary interruptions in availability. LegalVision will inform users as far as possible in advance about planned maintenance periods.
8.3 LegalVision is not liable for any damages resulting from temporary unavailability of the services, unless there is intent or gross negligence.
Article 9 – Liability
9.1 LegalVision excludes any liability for direct or indirect damages arising from the use of the Legally.io platform, unless the damage is the result of intent or gross negligence on the part of LegalVision or its management, pursuant to Article 6:74 of the Dutch Civil Code. This provision means that LegalVision’s liability for any damage is limited solely to situations in which there is demonstrable non-performance.
9.2 LegalVision is not a law firm and does not provide legal advice or legal assistance. The platform is purely a software platform that helps users create and manage legal documents. The user remains solely responsible for the correctness and applicability of the generated documents to their specific situation. Any liability for legal inaccuracies or omissions in the documents is excluded, in line with Article 6:75 of the Dutch Civil Code, which regulates liability in force majeure situations.
9.3 Although LegalVision endeavors to develop and maintain the offered services with care, no guarantee is given as to the legal completeness, accuracy, or suitability of the generated documents. LegalVision accepts no liability for any legal inaccuracies or omissions in the documents or for any damages resulting from their use, unless mandatory provisions dictate otherwise.
9.4 LegalVision is not liable for indirect or consequential damages, such as data loss, loss of revenue, loss of profit, or other economic losses arising from the use of the platform or the services, except in cases of intent or willful recklessness by LegalVision or its management, as provided in Article 6:74 of the Dutch Civil Code.
9.5 The user is solely responsible for complying with applicable laws and regulations when using the generated legal documents and must determine whether additional legal advice is necessary.
9.6 LegalVision cannot be held liable for damages resulting from the unavailability of the platform or services, regardless of the cause, unless there is intent or gross negligence.
9.7 LegalVision is not liable for damages arising from unauthorized use of the user’s or third parties’ account details. The user is responsible for protecting their login credentials and must immediately report any unauthorized access to LegalVision.
9.8 In the event that LegalVision is deemed liable, such liability is limited to the amount the user has paid for the subscription in the twelve (12) months preceding the event causing the damage, unless mandatory provisions dictate otherwise.
9.9 LegalVision reserves the right to make changes to the services and functionalities offered without accepting liability for any consequences thereof. It is the user’s responsibility to stay informed about such changes.
Article 10 – Intellectual Property
10.1 All intellectual property rights relating to the Legally.io platform—including but not limited to software, texts, designs, templates, and generated legal documents—are owned exclusively by LegalVision or its licensors. Users only acquire a limited, personal, non-exclusive, and non-transferable right to use the services and generated documents for their own personal purposes.
10.2 Users are expressly prohibited from using the generated legal documents or any platform content for commercial purposes, reproducing them, distributing them, making them public, or otherwise exploiting them without prior written permission from LegalVision.
10.3 Users may only use the legal documents in accordance with the purposes for which they were generated and may not modify them or distribute them to third parties unless explicitly agreed otherwise with LegalVision.
10.4 In the event of a violation of these provisions, LegalVision reserves the right to take appropriate measures, including but not limited to terminating the account and taking legal action to halt any infringement of its intellectual property rights and to seek compensation.
Article 11 – Privacy Statement
11.1 LegalVision attaches great importance to user privacy and operates in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR).
11.2 The Legally.io platform only collects personal data that is necessary for the provision of the service, such as account management, document storage, and payment processing. LegalVision strives to limit data collection to what is strictly necessary for delivering its services.
11.3 All details concerning the collection, use, and security of personal data are described in LegalVision’s separate Privacy Policy. This Privacy Policy is available on the website and contains detailed information about which data is collected, for what purposes it is processed, how long the data is retained, and what rights the user has.
11.4 Users are deemed to have taken note of and agreed to the Privacy Policy when using the Legally.io platform. LegalVision may amend the Privacy Policy from time to time and will inform users if this is legally required.
11.5 For questions or requests regarding the processing of personal data, users may contact LegalVision’s customer service, as stated in the Privacy Policy.
Article 12 – Cookie Statement
12.1 LegalVision uses cookies and similar technologies on the Legally.io platform to ensure the website’s functionality, improve user experience, and analyze platform usage.
12.2 Cookies are small text files stored on the user’s device upon visiting the website. These cookies help remember user preferences, facilitate navigation, and improve the overall performance of the platform.
12.3 More information about the use of cookies and an overview of the types of cookies placed can be found in the separate Cookie Statement. This Cookie Statement is automatically updated to always reflect the current status of cookies and includes details about the nature, purpose, and duration of the stored cookies.
12.4 Users are informed about the use of cookies upon their first visit to the website and can give or adjust their consent via the cookie settings. Users have the right to change their cookie preferences at any time or refuse cookies, which may affect the functionality of certain parts of the platform.
Article 13 – Amendment
13.1 LegalVision reserves the right to unilaterally change or supplement these general terms and conditions at any time. Amendments take effect on the announced effective date and apply to all existing and new users from that date onward.
13.2 LegalVision will inform users at least seven (7) days in advance of any material changes to the general terms and conditions, for example through a notification on the platform or by email. Users will have the opportunity to review the amended terms during this period.
13.3 If a user does not agree with a material change in the general terms and conditions, they have the right to terminate the agreement free of charge before the amendments take effect. This can be done by contacting customer service or via the account settings on the website.
13.4 If the user continues to use the Legally.io services after the effective date of the amendments, this is considered acceptance of the amended general terms and conditions.
13.5 Minor or necessary modifications that do not materially affect the user’s rights or obligations may be implemented without prior notice. These modifications take effect immediately.
Article 14 – Applicable Law
14.1 All agreements, offers, and disputes arising from or related to the use of the Legally.io platform and the services of LegalVision are exclusively governed by Dutch law. This provision is based on Article 6:247 of the Dutch Civil Code, which describes the operation of general terms and conditions in international agreements and establishes applicable law on grounds of reasonableness and fairness.
14.2 Any disputes arising from or related to the agreement between the user and LegalVision will, in the first instance, be submitted exclusively to the competent court in the District of Amsterdam, unless mandatory provisions dictate otherwise.
14.3 If one or more provisions of these general terms and conditions are deemed unreasonably onerous or invalid by a competent court on the grounds of reasonableness and fairness, the remaining provisions will remain in full force.
Article 15 – Applicable International Law
15.1 All agreements, services, and disputes regarding the use of the Legally.io platform are exclusively governed by Dutch law. This provision also applies to users residing outside the Netherlands, unless mandatory provisions in the user’s country stipulate otherwise.
15.2 In the event of disputes between LegalVision and a user residing or established outside the Netherlands, the Dutch courts in the District of Amsterdam will nonetheless have exclusive jurisdiction.
15.3 If a foreign user initiates legal proceedings outside the Netherlands that are not consistent with the above choice of law, LegalVision reserves the right to invoke the provisions of Article 6:247 of the Dutch Civil Code and any further protection offered by Dutch law in cross-border legal matters.
Article 16 – Complaints Procedure
16.1 Users can submit complaints about the services provided by LegalVision by contacting customer service using the contact information listed on the website. LegalVision will provide a written response to submitted complaints within fourteen (14) days. If a complaint requires a longer processing time, LegalVision will inform the user within fourteen (14) days, indicating when a definitive answer can be expected.
Article 17 – Attribution
17.1 These general terms and conditions take effect on October 1, 2024.
